Terms of Service

1. Who We Are and What We Do

Tangens (“Tangens,” “we,” “us,” “our”), operated by Tangens Chemical, LLC, a Michigan limited liability company, operates an online marketplace (the “Platform”) that connects buyers seeking industrial chemical products or services (“Buyers”) with vendors who supply such products or services (“Vendors”).

Tangens is a matchmaking and lead-generation platform only. Tangens is not a chemical manufacturer, distributor, seller, broker, or reseller of any kind. Tangens does not participate in, control, guarantee, or take responsibility for any transaction, negotiation, contract, sale, delivery, or agreement that may occur between a Buyer and a Vendor, whether initiated on or off the Platform.

2. Eligibility

By using the Platform, you represent that you are at least 18 years old, are acting on behalf of a legitimate business, and have the authority to bind that business to these Terms.

3. Accounts and Verification

• Vendor accountsmust be registered using a valid business email address associated with the Vendor’s company domain. Tangens may, at its discretion, request additional verification for accounts using non-standard or personal email domains, and may approve, reject, or suspend any account pending review.
• Buyer accounts must provide accurate contact and company information. Providing false, misleading, or fraudulent information is grounds for immediate account termination.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. How the Platform Works

• Buyers may post requests describing a chemical product or service need (“Sourcing Requests”).
• Vendors may pay a fee to unlock a Buyer’s contact information associated with a specific Sourcing Request (“Unlock”).
• Once unlocked, any subsequent communication, negotiation, quoting, contracting, sale, or delivery occurs directly between Buyer and Vendor, entirely outside of and independent from the Platform.
• Unlock fees are earned upon delivery of accurate contact information and are non-refundable, except at Tangens’s sole discretion, regardless of whether the Buyer responds, the Buyer’s needs have changed, or any transaction results from the introduction.

5. Buyer Obligations

By posting a Sourcing Request, Buyer agrees to:

• Provide accurate, current, and non-misleading information about the product/service need, budget, and timeline.
• Close or mark the Sourcing Request as no longer active promptly once Buyer is no longer seeking quotes, whether because a vendor has been selected, the need has ended, or for any other reason. Buyer acknowledges that failing to do so may result in Vendors paying for access to a Sourcing Request that is no longer active, and that Tangens is not responsible for and will not refund fees resulting from a Buyer’s failure to close an inactive Sourcing Request in a timely manner.
• Engage in good faith if contacted by a Vendor following an Unlock, though Buyer is under no obligation to purchase from, respond to, or select any particular Vendor.

6. Vendor Obligations

By using the Platform, Vendor agrees to:

• Use contact information obtained through an Unlock solely for the purpose of responding to that specific Sourcing Request, and not to resell, redistribute, or use such information for unrelated marketing purposes.
• Provide accurate company and identity information at signup.
• Not misrepresent itself as a different company or individual, and not create multiple accounts to evade exclusion lists or fees.

7. Vendor Exclusions

Buyers may designate certain Vendor companies to be excluded from viewing or unlocking a specific Sourcing Request. Tangens will make reasonable efforts to honor such exclusions based on Vendor’s registered company domain but does not guarantee that exclusions will be effective in all cases (for example, if a Vendor registers under a different or unrecognized domain).

8. No Warranty

The Platform and all information provided through it (including but not limited to Sourcing Request details, Vendor profiles, and contact information) are provided “as is” and “as available,” without warranty of any kind, express or implied, including without limitation warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.

Tangens does not verify, endorse, or guarantee the quality, safety, legality, accuracy, or suitability of any product, service, Buyer, Vendor, or Sourcing Request listed on the Platform. Tangens is not responsible for the quality, safety, regulatory compliance, delivery, or performance of any chemical product or service exchanged as a result of a connection made through the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, Tangens and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Platform or any transaction between a Buyer and Vendor, even if advised of the possibility of such damages.

Tangens’s total aggregate liability for any claim arising out of or related to these Terms or the Platform shall not exceed the total fees paid by you to Tangens in the six (6) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Tangens from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Platform; (b) any transaction, product, or service exchanged between you and another user; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

11. No Party to Transactions

Tangens is not a party to, and has no responsibility for, any agreement, contract, purchase order, or transaction formed between a Buyer and a Vendor. Any disputes regarding pricing, product quality, delivery, payment, or performance are solely between the Buyer and Vendor involved.

12. Termination

Tangens may suspend or terminate any account, at its discretion, for violation of these Terms, fraudulent activity, non-payment, or any conduct Tangens deems harmful to the Platform or its users.

13. Modifications

Tangens may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
